Terms of service

1. Who we are
Mentora is a learning, training, and certification cloud operated by Spell Solutions LLC ("Spell Solutions", "we", "us"). These Terms of Service govern access to and use of the Mentora platform, including the web app at spellmentora.com, the workspace at app.spellmentora.com, our APIs, and any related services (together, the "Service").
By signing up for a workspace, inviting learners, or continuing to use the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. Your workspace and users
A workspace is created for a single organization. The individual who creates the workspace becomes the workspace administrator and may invite additional administrators, authors, and learners. You are responsible for the accuracy of workspace configuration, the authorization of users, and the enforcement of internal access rules within your organization.
You must keep sign-in credentials confidential. You must notify us promptly if you suspect that a credential has been compromised.
3. Content you upload
You retain ownership of the courses, videos, audio, documents, quizzes, learner records, and any other materials you upload to the Service ("Customer Content"). You grant us a limited, non-exclusive licence to host, process, transmit, and display Customer Content solely as required to operate the Service on your behalf.
You represent and warrant that you have all rights necessary to upload Customer Content, that Customer Content does not infringe any third-party rights, and that Customer Content complies with applicable law.
4. Spella AI
Spella AI is an assistant that operates on Customer Content and prompts you provide. When you use Spella, your prompts and relevant Customer Content are processed to generate outputs. Spella outputs are drafts intended for review by a qualified person before publication or delivery. You remain responsible for the accuracy, appropriateness, and lawfulness of Spella outputs before they reach a learner.
We do not use your Customer Content or prompts to train third-party foundation models.
5. Certificates and verification
Certificates issued through Mentora carry a public verification ID. Anyone with the ID or the QR code on the certificate PDF may check whether the certificate is currently valid, expired, or revoked. Revocation is a workspace administrator action and takes effect immediately on the verification page.
A verified certificate confirms only that Mentora issued the credential at the request of the named workspace and that it has not been revoked. It does not warrant the accuracy or regulatory sufficiency of the underlying training programme.
6. Acceptable use
You may not use the Service to send spam, deliver malware, breach security, infringe intellectual property, or violate privacy or export laws. You may not attempt to reverse engineer, resell, or circumvent access controls on the Service.
7. Fees, term, and termination
Fees, if any, are stated in the ordering document or invoice between you and Spell Solutions. Unless a longer term is agreed in writing, either party may terminate the agreement on thirty days written notice for convenience, or immediately for material breach that is not cured within fifteen days of notice.
Upon termination, we will retain Customer Content for a reasonable transition window so you can export it, after which Customer Content is deleted in accordance with our retention schedule.
8. Confidentiality
Each party will protect the other party's confidential information with the same degree of care it uses for its own, and will not disclose it except to personnel with a need to know who are bound by confidentiality obligations at least as protective as these Terms.
9. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or goodwill. Each party's aggregate liability under these Terms is capped at the fees paid or payable by you for the Service in the twelve months preceding the event giving rise to the claim.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws rules. Disputes will be resolved in the state and federal courts located in New Castle County, Delaware, and each party consents to the personal jurisdiction of those courts.
12. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will notify the workspace administrator through the Service or by email. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.
